UNREAL SOLUTIONS TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

By using our website and services, you confirm that you are at least 16 years old and have the legal authority to enter into these Terms. If you do not agree, you may not use our services.

2. SCOPE OF SERVICES

• Web design and user interface/experience development
• UI/UX design and prototyping
• Branding and identity
• Frontend and backend development
• Website maintenance, support, and hosting guidance
• Consultation and strategy related to digital solutions
• Deliverables may vary by project (e.g., design files for approval, statement of work, or contract)
• Each project is governed by a separate work agreement

3. CLIENT RESPONSIBILITIES

• Provide accurate, complete, and timely information necessary for project execution
• Respond to feedback and approvals within agreed timelines
• Ensure all materials (images, text, logos, videos) provided are legally owned or licensed
• Timely payment as specified in the project agreement

4. PAYMENTS & FEES

• Fees are specified in invoices, proposals, or contracts and must be paid according to the agreed schedule
• Late payments may incur interest or suspension of services
• All prices are exclusive of applicable taxes unless stated otherwise
• Refunds, if any, are handled at our discretion and in accordance with applicable law

5. INTELLECTUAL PROPERTY

• Client Materials: You retain ownership of pre-existing or otherwise independently supplied content and grant Unreal Solutions a limited license to use such materials solely to provide the services
• Project Deliverables: Upon full payment, you receive a license to use deliverables for the purposes outlined in the project agreement
• Third-Party Assets: We may use third-party fonts, icons, libraries, or code subject to their licenses. Ownership remains with their respective licensors
• Portfolio Use: We may display the project’s name, work, and/or previews as part of our portfolio

6. CONFIDENTIALITY

• Both parties agree to maintain the confidentiality of all non-public, proprietary information shared during the engagement
• Confidential information shall not be disclosed to third parties without written consent, unless required by law
• Confidentiality obligations remain in effect even after the termination of services

7. REVISIONS & CHANGES

• Each proposal includes a specified number of revision rounds stated in the contract
• Additional revisions or changes beyond scope may incur extra fees
• Significant scope changes may require a new proposal or contract

8. THIRD-PARTY SERVICES

• Unreal Solutions may recommend or integrate third-party services (e.g., hosting, payment gateways, CMS, analytics)
• We are not responsible for the performance, reliability, or security of such third-party services
• Client is responsible for maintaining accounts and licenses with third-party vendors

9. LIMITATION OF LIABILITY

• We are not liable for indirect, incidental, or consequential damages (e.g., loss of profits, data, or business opportunities)
• Our total liability for claims shall not exceed the total amount paid for services in the three (3) months preceding the claim
• We are not responsible for downtime, security breaches, or data loss caused by third-party services or client systems
• Services are provided “as is” without guarantees beyond those explicitly stated in writing

10. WARRANTIES & DISCLAIMERS

• We provide services with reasonable skill and professional care
• We do not guarantee uninterrupted service, error-free performance, or specific outcomes beyond project scope
• Any timelines provided are estimates and may be impacted by the client’s responsiveness and third-party dependencies

11. TERMINATION

• Either party may terminate the agreement with written notice if the other party breaches these Terms and fails to remedy within 14 days
• Upon termination, the client will pay for all work completed up to the termination date
• Client remains responsible for any unpaid invoices
• We may suspend or terminate services if client engages in unlawful, abusive, or unethical activities

12. INDEMNIFICATION

• Client agrees to indemnify and hold harmless Unreal Solutions from any claims arising out of materials supplied by client or misuse of deliverables

13. GOVERNING LAW & DISPUTE RESOLUTION

• These Terms are governed by the applicable laws of our primary place of business
• Any disputes shall be resolved in the competent courts of that jurisdiction
• Parties agree to attempt good-faith negotiation before pursuing legal action
• Both sides agree to keep confidential any non-public details of dispute resolution

14. CHANGES TO THESE TERMS

We may update these Terms from time to time for legal, technical, or operational reasons. Updates will be effective upon posting the revised version on this site. Continued use of our services constitutes acceptance of the updated Terms.
